Jeannette Bankes named President and Chief Executive Officer for Tandem Diabetes Care.

Mr. Sheridan has served as Tandem’s president and CEO since 2019, after joining the Company as chief operating officer in 2013. During his tenure, Tandem launched a portfolio of automated insulin delivery solutions, while strengthening the organization’s ability to operate on a global scale, and has initiated business model changes to simplify and improve technology access. Mr. Sheridan will remain with the Company as an employee through the end of 2026, then will serve as a consultant to support a smooth transition.

Ms. Bankes brings more than 30 years of global operating experience and a strong record of translating strategy into consistent execution and growth. Her customer-focused approach and commitment to innovation align with Tandem’s mission and priorities as the Company advances its technology roadmap, broadens access and pursues sustainable, profitable growth. Her appointment follows a Board-led succession and search process designed to ensure continuity as Tandem executes its strategy.

“On behalf of the Board, I thank John for his significant contributions and dedication to our customers, employees and shareholders. He established Tandem as a global leader in diabetes technology and positioned the Company for its next phase of growth,” said Beckie Robertson, Chair of Tandem’s Board of Directors. “Jeannette is the right CEO to build on this foundation. Her broad operating experience, focus on the people we serve and ability to translate innovation into impact will be critical as we seek to deliver new technology and drive profitable growth.”

“It has been a privilege to serve as Tandem’s CEO and work alongside a dedicated organization united by our mission to improve the lives of people with diabetes, including half a million people worldwide who benefit from Tandem’s technology,” said Mr. Sheridan. “Jeannette is an exceptional leader, and I am confident that she and the Tandem team have the capability, passion and commitment to guide the Company into its next chapter.”

“Tandem’s compelling mission, differentiated portfolio and global reach create a meaningful opportunity to improve the lives of more people with diabetes,” said Ms. Bankes. “I am excited to work alongside the talented people at Tandem to build on these strengths, advance the innovation pipeline and expand access to our technology. Through disciplined execution and a continued focus on customers, we can extend Tandem’s impact and deliver lasting value for the diabetes community and shareholders.”

Inducement Award

In connection with the hiring of Ms. Bankes, upon recommendation of the Compensation Committee after consultation with the committee’s independent compensation consultant, the Board approved the grant of an inducement award consisting of restricted stock units (“RSUs”), which will cover a number of shares of Tandem common stock (“Common Stock”) having an aggregate value as close as practicable to, but not exceeding, $10,000,000, based on the average closing price of the Common Stock as reported on the Nasdaq Global Market during the 15-trading-day period ending on the fifth trading day before the Grant Date (as defined below). The grant of RSUs will be effective December 15, 2026 (the “Grant Date”), and one-third of the shares subject to the RSUs will vest on the first anniversary of the Grant Date, with the remaining two-thirds vesting in eight equal quarterly installments thereafter.

The RSUs described above will be subject to the terms of Tandem’s 2023 Long-Term Incentive Plan, as amended (the “Plan”), but will be granted outside of the Plan as an inducement material to Ms. Bankes’ entering into employment with Tandem in accordance with Nasdaq Listing Rule 5635(c)(4). Such grant was intended in part to compensate Ms. Bankes for the value of unvested equity-based awards forfeited upon departure from her previous employer. Further information will be disclosed in the Company’s proxy statement for its 2027 Annual Meeting of Stockholders.
